Acceptable Use Policy
1. Overview and Application
This Acceptable Use Policy (“AUP”) describes activities that are prohibited when accessing or using Trendful’s Services. It supplements, and is incorporated into, the Trendful Terms of Service (the “Agreement”). Capitalized terms not defined in this AUP have the meaning given to them in the Agreement.
By accessing or using the Services, you agree to comply with this AUP. This AUP applies to you as a Client and to your Trendful Users. You are also responsible for ensuring that your sellers (customers), and anyone who accesses the Services through you or on your behalf, comply with this AUP in connection with your use of the Services.
You may not use the Services, and you may not permit or enable anyone else to use the Services, to do any of the following.
2. Illegal and Fraudulent Activity
You may not use the Services to:
- Violate any applicable law, regulation, or the rights of any third party;
- Engage in, facilitate, or promote any fraudulent, deceptive, or misleading activity;
- Impersonate any person or entity, or misrepresent your identity, affiliation, or authority to act on behalf of a business; or
- Use the Services for any purpose that is not a lawful business purpose, or for personal, household, or family purposes.
3. Counterfeit, Stolen, and Misrepresented Goods
Because Trendful supports resale intake, the integrity of the goods flowing through the Services matters. You may not use the Services to intake, offer, purchase, consign, list, ship, or otherwise transact in:
- Counterfeit, replica, or inauthentic goods, or goods that infringe another party’s trademark, copyright, or other intellectual property rights;
- Stolen goods, or goods that the seller does not have the lawful right to sell or consign; or
- Goods whose authenticity, condition, provenance, brand, or value has been intentionally misrepresented.
You may not intentionally misstate the authenticity, condition, description, declared value, or resale value of any item, including in a manner that could inflate an offer, a payout, or an insurance claim.
4. Prohibited and Restricted Items in Shipping
When using Trendful Shipping, you may not ship any prohibited, restricted, hazardous, dangerous, or illegal goods, or any goods that violate applicable carrier rules or applicable law. Your shipping activity is also subject to the Trendful Shipping Terms of Service and the applicable carrier’s terms, and you are responsible for reviewing and complying with those restrictions.
5. Financial Integrity, Payouts, and Anti-Money-Laundering
You may not use the Services, including Trendful Payouts, to:
- Launder money, finance terrorism, evade sanctions, or engage in any other financial crime;
- Structure transactions or otherwise attempt to circumvent identity verification, know-your-customer, anti-money-laundering, tax, or reporting obligations;
- Process payments or payouts using stolen, unauthorized, or fraudulent payment methods or account information;
- Initiate or facilitate unauthorized payouts, chargebacks, or reversals, or otherwise misuse the payout or shipping-billing functionality; or
- Provide false, inaccurate, or incomplete information in connection with billing, payouts, or identity verification.
6. Intellectual Property
You may not use the Services to infringe, misappropriate, or violate the intellectual property or proprietary rights of Trendful or any third party. You may not use another party’s trademarks, brand names, logos, images, or copyrighted material without authorization, and you may not use the Services to make counterfeit or infringing goods available.
7. Data Protection and Customer Information
The Services allow you to collect and process personal information about your sellers (customers). You may not:
- Collect, use, disclose, or retain your customers’ personal information in violation of applicable data protection or privacy laws, your own posted privacy policy, or the Trendful Terms of Service, Privacy Policy, and Data Processing Addendum;
- Use the Services to send unsolicited marketing to your customers without any consent required by law, or use customer information for purposes unrelated to your resale relationship with that customer;
- Attempt to access, or actually access, personal information or Confidential Information relating to other Clients, their customers, or any third party you are not authorized to access; or
- Sell, rent, or improperly disclose personal information obtained through the Services.
8. Communications and Marketing
If you use the Trendful Email Services or otherwise send communications through the Services, you must comply with the Email Services Requirements in the Trendful Terms of Service and all applicable laws. Among other things, you may not send spam or unsolicited commercial email, use non-permission-based, purchased, or rented contact lists, falsify email headers or sender information, or omit a working unsubscribe mechanism where one is required.
9. Platform and Technical Integrity
You may not:
- Access or use the Services in a way that damages, disables, overburdens, or impairs them, or that interferes with any other party’s use of the Services;
- Submit, or use any bot, script, or other automated means to submit, false, fraudulent, duplicate, or automated entries, items, or submissions through the Sell Form, the Resale App, or any other intake channel, or otherwise flood, spam, or artificially inflate submissions to the Services;
- Introduce or transmit any malware, virus, or other harmful code, or attempt to gain unauthorized access to the Services, other accounts, or Trendful’s or any carrier’s or provider’s systems;
- Circumvent, disable, or interfere with security features, access controls, rate limits, billing, insurance calculation, or claims processing;
- Scrape, harvest, data-mine, or use any bot or automated means to access, collect, or extract data from the Services, including the Sell Form and the Resale App, except as expressly permitted, or bulk-extract, resell, or redistribute data obtained through the Services;
- Reverse engineer, decompile, or disassemble any part of the Services, or attempt to derive source code, except to the extent this restriction is prohibited by applicable law; or
- Resell, sublicense, rent, or otherwise provide access to the Services, shipping rates, or Labels to any third party, or use the Services to operate on behalf of another business, except as expressly permitted.
10. Use of the Price Database
You may use the Price Database only for your own resale business as permitted by the Agreement. You may not bulk-extract, scrape, resell, redistribute, sublicense, or build a competing product from the Price Database data, and you may not use it in a manner inconsistent with the Agreement or any separately licensed pricing or catalog product’s own terms.
11. Harmful and Abusive Conduct
You may not use the Services to harass, threaten, defame, or abuse any person, and you may not engage in verbal or written abuse of any kind (including threats of abuse or retribution) directed at any Trendful client, employee, member, or officer. You may not upload or transmit content that is unlawful, obscene, hateful, or that promotes violence or illegal activity.
12. Enforcement and Consequences
Trendful does not undertake to monitor the Services or pre-screen Materials, but reserves the right to do so. If Trendful determines, in its sole discretion, that you have violated this AUP, or if Trendful reasonably believes your activity creates risk, liability, or non-compliance, Trendful may take any action it considers appropriate, including:
- Removing or disabling Materials;
- Restricting, suspending, or terminating your Account, your access to the Services, or specific products or features, as described in Sections 5 and 25 of the Trendful Terms of Service and, for E.U. and U.K. Clients, the Supplementary Terms of Service for E.U. and U.K. Clients;
- Suspending access to Trendful Shipping or Trendful Payouts; and
- Reporting the activity to, and cooperating with, law enforcement, carriers, payment or insurance providers, or other authorities.
A violation of this AUP is a breach of the Agreement. Suspension or termination for a violation may occur immediately and, where permitted, without prior notice.
13. Reporting Violations
If you become aware of any actual or suspected violation of this AUP, including counterfeit or stolen goods, fraud, or misuse of personal information, please report it to Trendful at contact@trendful.com.
14. Changes to this AUP
Trendful may update this AUP from time to time by posting the amended AUP. For material changes, Trendful will provide notice through the Trendful Admin Account or by email to the primary Account email address. Such changes are effective as of the date of posting, and, for E.U. and U.K. Clients, in accordance with the notice periods in the Supplementary Terms of Service for E.U. and U.K. Clients. Your continued use of the Services after the amended AUP is posted constitutes your acceptance of it.
